Introduction
Websites with a domain of “medgrocer.com” (“Website”) is an internet-based platform that facilitates the online sale and purchase of pharmaceutical products and services offered by MG Health Solutions, Inc. (“MedGrocer”), a company duly authorized by the Food and Drug Administration (FDA) of the Philippines to operate as a retailer of such products.
Content
The contents of the Website, information, text, graphics, images, logos, icons, design, and the collection, arrangement, and assembly of content on the Website (collectively, “MedGrocer Content”), are the property of MedGrocer. The User shall not modify the MedGrocer Content or reproduce, display, publicly perform, distribute, or otherwise use the MedGrocer content in any way for any public or commercial purpose or for personal gain.
MedGrocer Content may communicate basic information about medications, supplements, pharmaceuticals, and other personal or health care products that may not be complete, up-to-date, or free from errors or omissions. MedGrocer may make changes or improvements at any time.
The contents of the Website are for informational purposes only and is not intended to be used as substitute or replacement for professional medical advice, diagnosis, treatment, or recommendations of any kind. Individual medical concerns should be consulted with qualified health care professionals before taking any form of treatment, medication, or supplement. Reliance on any information appearing on the Website is solely at the User’s own risk. MedGrocer advises the User to always seek the advice of a doctor or any qualified healthcare professional with any questions regarding personal health or medical conditions. The User should never disregard, avoid, or delay in obtaining medical advice from a doctor or other qualified healthcare professional because of information obtained from the Website or from MedGrocer representatives.
Retail prices on the Website are subject to change without prior notice. All prices are inclusive of Value Added Tax (VAT) and are expressed in Philippine Peso. The User recognizes that pricing errors may occur, and it is the responsibility of the User to review product prices during Order Confirmation.
MedGrocer Content is provided “as is” and without warranties of any kind either expressed or implied, to the fullest extent permissible pursuant to applicable law. MedGrocer does not warrant or make any representations regarding the use of or the result of the use of the content of the Website in terms of their correctness, accuracy, reliability, or otherwise. MedGrocer also disclaims all liability resulting from loss, damage, personal injury, death, fraud, or other consequences arising from the use of the Website or services offered by MedGrocer.
Order and Delivery
- To place an Order through the Website, the User must add a product to the cart and complete the checkout process.
- Orders are processed from Monday to Friday (“Working Days”), from 9AM to 5PM only. Orders placed beyond this schedule are processed on the nearest working day. All orders received by MedGrocer are subject to order processing by a MedGrocer Pharmacist.
- After Order Processing, the User shall expect an email from MedGrocer to confirm Order details such as product/s ordered and respective dosage form, strength, and quantity. Delivery information such as the User’s name and address shall also be verified. The User shall be responsible for ensuring the accuracy of the Order and Delivery details. MedGrocer shall not be obliged to dispense any products until the Order has been confirmed. MedGrocer reserves the right, in its sole discretion, without limitations and/or conditions, to refuse any service to any customer for any reason attributable to the unavailability of the products ordered, or other circumstances and conditions beyond the control of MedGrocer which would delay or render impossible the fulfillment of its obligations.
- From the time of successful Order Confirmation, the User may expect MedGrocer to deliver the products within the 1-4 working days in Metro Manila, and 2-7 working days outside of Metro Manila. Inclement weather, natural calamities, and other events beyond MedGrocer’s control may affect the delivery schedule.
- Products are dispensed in sealed packages prior to delivery. Upon receipt of the package, it is the User’s or an authorized representative’s responsibility to inspect the packaging to ensure that it has not been tampered with. To acknowledge receipt of the package, the User or authorized representative shall be asked to sign a delivery receipt.
- If the User wishes to cancel an Order prior to dispensing, a notice must be sent to MedGrocer's email. MedGrocer, however, reserves the right to refuse cancellation in the case that the Order has already been dispensed or dispatched for delivery prior to the receipt of the User’s request to cancel.
By accepting the Terms and Conditions, the customer confirms that they understand the following:
- MG Health Solutions Inc. (“MedGrocer”) is the authorized service provider of “Client” in the implementation of the program.
- To the extent allowed by law and applicable regulations, MedGrocer and its partners shall verify the information provided in the forms. In the event that information is found to be fictitious or false, MedGrocer reserves the right to cancel the customer’s membership to the program including all its benefits.
- By availing of the benefits granted by the program, the customer consents to receiving mail, email, calls, text messages, and other means of communication from MedGrocer and its partners. By applicable regulations, they may decline at any time upon notification to MedGrocer and its partners.
- The information disclosed in any of the forms, as well as information obtained in the course of the program, is collected, processed, and stored in a database which shall be used and administered solely by MedGrocer. The information referred to in this section may be disclosed to the customer’s doctor, MedGrocer, MedGrocer’s partners, and third parties in compliance with MedGrocer’s Privacy Policy.
- Any customer-specific information may not be used in any form of publication or promotional material without prior written approval by the customer. Anonymized and aggregate customer data may be analyzed and used to provide information to further improve the program.
- Any information relayed about the customer’s medical condition, therapy, treatment, method of administration, precautions, and special instructions is for informational purposes only and not meant to replace the professional advice of the customer’s doctor.
- The customer will comply with all guidelines of the program to enjoy its benefits; otherwise, membership in the program may be terminated.
- Membership in the program is not transferable.
- Client and MedGrocer reserves the right to suspend and terminate any of the benefits available under the program or the program itself at any time without prior notice, as long as within the limitations of local laws and regulations. The benefits to the program may be availed of for the duration that Client and MedGrocer offers the same. Client and MedGrocer may opt to stop or continue the program, in full or in part, at any time at its own discretion. Both parties also reserve the right to change the program, its mechanics and benefits, and these Terms and Conditions, in full or in part, any time.
- MedGrocer and its partners shall not be responsible nor liable to the customer for any loss or damage incurred or suffered as a consequence of any delay or inability of MedGrocer to perform any of its obligations pursuant to these Terms and Conditions due to any telecommunications failure, act of God, civil disturbance, or any event outside MedGrocer’s control.
- The customer acknowledges that they are personally responsible for their property, health, safety, and well-being, including that of their dependents/guests, during their participation in the program. The customer knowingly and intentionally assumes the risk of any and all injuries or harm that they and their dependents/guests may sustain in connection with this program. The patient, and on behalf of their dependents/guests, releases the Client and MedGrocer, their employees, supervisors, managers, officers, any affiliated entities, and its partners from all claims or causes of action of every kind, known or unknown, arising out of or in any way connected with the program, waiving any and all claims, of any nature, against the Client, MedGrocer, and its partners and will indemnify, protect and hold the Client, MedGrocer and its partners free and harmless, from any claims arising from their acts or omissions or that of their dependents/guests, any third party, and from any claim of liability for any damage or injury to the customer or their dependents/guests associated with or arising from their participation in the program.
How MedGrocer safeguards User prescription data
- MedGrocer, as a healthcare company involved in data analytics for large populations, maintains a balance between patient privacy, medical independence, and sharing data with internal and external stakeholders.
- MedGrocer acknowledges that its physicians are entitled to exercise independent clinical judgment in prescribing medications tailored to the specific healthcare needs of patients. While MedGrocer provides prescribing guidelines, its physicians retain the discretion to prescribe medications deemed appropriate for the customer’s well-being without undue commercial pressures.
- For the purposes of analysis, reporting, and to support our physicians' independence, MedGrocer disseminates aggregate data concerning the conditions treated. Disclosure of individual prescription details will only occur in the presence of a legitimate medical issue or a suspicion of prescription misuse/abuse related to a specific case.
- User hereby represents and warrants that all personal information provided in connection with their application in the program is correct, accurate, and true. The User confirms that their participation in the program is voluntary and knows that they are free to withdraw at any time based on their own decision. They may inform MedGrocer of their withdrawal by emailing accenture.med@medgrocer.com
Limitation of Liability
General

- MedGrocer shall not be responsible or liable in any manner to the User for any losses, damage, injuries, or expenses incurred by the User as a result of any actions or decisions taken as a result of using the Website or services offered by MedGrocer.
- In no event shall MedGrocer, or any of its directors, officers, employees, agents, or content or service providers be liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages arising from, or directly or indirectly related to the use of or the inability to use the Website or the content, materials, and functions relations thereto and the User’s provision of information via the Website. In no event shall such be liable for lost business or lost sales, even if the User has been advised of the possibility of such damages. In no event shall MedGrocer be liable for any content posted, transmitted, exchanged, or received by or on behalf of any User or other person on or through the Website.

MedGrocer follows the stringent requirements of the Food and Drug Administration (FDA) in terms of storage, handling, and dispensing of the products. MedGrocer is therefore not liable for any damages (side effects, adulteration, etc.) related to the use of any products offered.

The Website may be linked to the website of third parties, affiliates, and business partners. MedGrocer has no control over and accepts no responsibility for the content of any site to which a link from the Website exists. Such linked sites are provided “as is” for the User’s convenience with no warranty, express or implied, for the information provided within them. Inclusion of any link on the Website does not imply that MedGrocer endorses the linked site. The User may use the links and these services at the User’s own risk. The User must not, without permission from MedGrocer, frame any of the Website onto another website.
